Drivetrain and Tranny Concerns

I'm very close to buying a 2002 Nav that has 150,000 miles on it. Seller is letting go for under 10K. My question is whats the average expectancy of an engine(5.4L v8) and should I have fears in the transmission area also. Overall is this a good deal?
